Terms of Service & Acceptable Use Policy

This Terms of Service Agreement ("Agreement") is entered into by and between JDKL Services LLC, a Wyoming limited liability company ("JDKL Services," "we," "our," or "us"), and the individual or entity accessing or using any Services ("Customer," "you," or "your"). By using the Services, you agree to be bound by this Agreement.

1. Definitions

Services: Hosting, colocation, virtual servers, dedicated servers, IP transit, DNS services, and other infrastructure services.

Customer Data: Any data or digital material transmitted, stored, or processed using the Services.

Facility: Any secured data center environment operated by JDKL Services.

AUP: The Acceptable Use Policy incorporated into this Agreement.

SLA: The Service Level Agreement described in Section 12.

2. Scope of Services

JDKL Services provides infrastructure hosting services as described in applicable service orders or invoices. Services may be modified or updated at any time.

3. Customer Responsibilities

• Maintain secure systems and credentials.
• Manage backups unless otherwise contracted.
• Ensure legal and compliant use.
• Pay invoices on time and maintain updated billing info.
• Prevent unauthorized access to systems and accounts.

4. Acceptable Use

Customer may not use the Services for unlawful, harmful, abusive, or disruptive activities, including: spam, DDoS attacks, malware distribution, copyright violations, or activities that degrade network performance. Violations may result in immediate suspension.

5. DMCA Compliance

JDKL Services processes DMCA notices pursuant to applicable law.

6. Logging and Monitoring

JDKL Services may maintain logs for operational, diagnostic, security, and compliance purposes. Logs may be disclosed to law enforcement when required.

7. Physical Access & Equipment Handling

Customers are not permitted to enter secured data center spaces. All hardware handling is performed exclusively by JDKL Services personnel. Equipment may be moved to a designated area for inspection if required.

8. Payments and Billing

Invoices are due upon receipt. Services may be suspended after 10 days of non-payment. Chargebacks result in immediate permanent termination.

9. Refund Policy

Refunds are not provided except for SLA credits, which apply only to future invoices.

10. IP Address Usage

IP addresses remain the property of JDKL Services or its upstream providers and are licensed only for the duration of service. Justification may be required for allocations.

11. Warranty Disclaimer & Liability Limits

Services are provided "AS IS" and "AS AVAILABLE." JDKL Services disclaims all warranties. We are not liable for indirect, incidental, or consequential damages. Maximum liability is limited to the amount paid in the previous one (1) month.

12. Service Level Agreement (SLA)

Target uptime is 99.9%. Customer receives a 5% credit for each full hour of downtime, up to 100% of the monthly fee for the affected service.

13. Data Backups

Unless otherwise contracted, JDKL Services does not provide backups. Customer is responsible for their own data retention and backup strategy.

14. Indemnification

Customer agrees to indemnify and hold harmless JDKL Services from claims arising out of Customer’s use, Customer Data, or violations of this Agreement.

15. Termination

JDKL Services may suspend or terminate Services for AUP violations, non-payment, chargebacks, unlawful activity, or risk to infrastructure.

16. Governing Law

This Agreement is governed exclusively by the laws of the State of Wyoming. All disputes shall be resolved in Wyoming courts.

17. Modifications

JDKL Services may modify this Agreement at any time. Continued use constitutes acceptance of updated terms.

18. Entire Agreement

This Agreement, together with applicable service orders and the AUP, constitutes the full and complete agreement between the parties.
